Skadden, Arps, Slate, Meagher & Flom LLP seeks a Mid-Level Associate in New York, NY to work within the firm's Financial Institutions Group (FIG) focusing on mergers and acquisitions and reinsurance involving financial institutions, insurance and reinsurance companies, both in the U.S. and internationally. Requires a Juris Doctor, Master of Laws, or equivalent, and two (2) years of experience advising domestic and global financial institutions, including insurance companies, on a diverse range of corporate transactions, including private and public acquisitions and divestitures, restructurings, migration and separation, reinsurance transactions, capital-raising transactions and insurance regulatory matters; performing insurance regulatory work, including preparing insurance regulatory filings in connection with M&A transactions and research of insurance regulatory issues; conducting buy-side diligence and preparing diligence reports, performing sell-side diligence and preparing disclosure schedules; drafting board resolutions, stockholder resolutions and corporate consents; drafting transactions-related public filings including current reports and proxy statements; liaising with clients and counterparties regarding transaction related matters including preparing for negotiations; and, drafting transaction agreements and analyzing legal issues arising from transaction documents in the course of the negotiations. Must be admitted to practice law in the state of New York. Telecommuting and/or working from home may be permissible pursuant to company policies. The starting base salary for this New York position is expected to be between $260,000.00 to $310,000.00 annually. Actual salary will be determined based on skills, experience (to the extent relevant) and other job-related factors, consistent with applicable law.
