Description
The Contract Review Attorney with corporate or operational healthcare experience handles corporate transactions and regulatory matters to assist in managing contract reviews for the entire organization and its affiliates. Drafts, reviews and negotiates the terms and conditions of operational contracts, creates template form of agreements, and has knowledge about various federal and state regulatory requirements (e.g. HIPAA, fraud and abuse, Stark analysis), the contract management and administration process. Must have strong interpersonal and client/customer service skills, (ii) analytical and problem-solving skills and (iii) the ability to handle a high volume of contracts, calls and/or emails daily and to work in a team environment but is also a self-starter. The position offers the opportunity to work on a wide variety of corporate transactions and regulatory matters involving the health care industry and health care organizations.
Qualifications
Minimum Education Juris Doctorate (J.D.) (Required)
Minimum Work Experience 2 years contracts review experience (Required)
Required Licenses and Certifications Licensed in DC or able to become licensed to practice in DC 1 Year (Required)
Functional Accountabilities Document and Contract Support
- Support the Children's National legal team in identifying training opportunities and providing training to internal clients on relevant legal issues/good contracting practice.
- Provide initial review of contracts as assigned.
- Assist in the negotiation process for contracts as assigned. This will include counsel on contract interpretation, compliance, enforcement and administration.
- Create and revise template agreements as well as contract education tools for Children's National.
- Provide support to other legal team members as needed to manage legal matters and escalate to Senior Counsel as necessary.
- Utilizing project management skills to implement process improvement for the contract process.
- Communicate and perform cross functionality by working closely with legal, compliance, risk, purchasing, grants and contracts, finance and other business functions.
- Other projects and matters as assigned.
- Provide day-to-day legal advice on regulatory, operational and transactional matters and provide advice in healthcare contracting and compliance with a focus on Federal, state and local laws, including but not limited to HIPAA, Fraud and Abuse, Anti-Kickback Statute and Stark (general working knowledge of these laws preferred but not required).
- Support strategic initiatives and development of new programs and Legal Department processes.
- Demonstrated ability to make prudent, strategic and pragmatic decisions while working well with others in a diverse team environment to resolve complex issues effectively and efficiently.
- Perform due diligence and create diligence reports on transactional matters as needed and as assigned.
Research
- Conduct legal research (international and domestic) as assigned.
- Excellent written and verbal communication skills, with the ability to distill complex legal and regulatory issues into practical, actionable legal advice in a timely manner.
- Assist in the research, planning and preparation of education sessions and presentations.
- Assist with creation of education materials and templates for internal and external use.
Administrative Tasks; Customer Service
- Provide excellent customer support via Contract Navigator Line and Contract Review email inbox.
- Assist with development of tracking tools for certain provisions within contracts (e.g., gross negligence, limitation of liability, insurance).
- Support of Legal/Compliance/Risk on the Intranet (SharePoint), development of survey tools, and other tasks as needed.
- Provide other client/customer support and support of contracts management system navigation as needed and/or assigned.
