About the Role:
Join Alcoa's dynamic Legal Department as aCorporate Legal Analyst where you'll play a key role in supporting our global subsidiary management and corporate governance functions. This is a unique opportunity to work at the heart of a Fortune 500 company, contributing to high-impact legal and board operations.

Subsidiary Management:

  • Support the formation, dissolution, and restructuring of legal entities.
  • Draft and manage corporate documents including resolutions, minutes, powers of attorney, and certificates
  • Maintain corporate formalities of subsidiary entities, including corporate actions, annual elections, and corporate records and minute books.
  • Prepare and organize documents for and assist in closing corporate and commercial transactions including agreements, certificates, and other documents.
  • Maintain the subsidiary software management system.
  • Provide other corporate governance support as needed.

Board Administration and other Corporate Secretary Support:

  • Assist with the organization of board meetings and the preparation of meeting materials.
  • Assist with producing board materials using software platform (Diligent).
  • Assist with calendar management of Board and Committee meetings as well as creating, maintaining and updating annual Board schedules as necessary.
  • Maintain and update Board contact information.
  • Assist with administration of quarterly director compensation and annual stock grants and required reporting.
  • Administration of quarterly insider trading blackout list, including verification of subject participants and timely notification via Outlook.

Other Departmental Support: This position will have the opportunity to assist the Legal Department with general administrative support which may include learning the monthly closing procedures, setting up new users and suppliers in the invoicing system and submitting 3rd party invoices.

What you can bring to the role:

  • Bachelor's degree preferred. In lieu of a bachelor's degree, paralegal certificate or equivalent legal admin experience (3-5 years) will be accepted.

  • Paralegal certification is a plus

  • Excellent organizational and communication skills with a proactive, problem-solving mindset. .

  • Proficiency in Microsoft Office Suite; exposure to Board Portal Software is a plus

  • Ability to manage multiple priorities in a fast-paced, professional environment.
