Associate General Counsel - Securities

Primary Purpose of Job

This role serves as ASB's subject matter expert on securities law. Leads all aspects of securities law compliance and corporate governance initiatives. Including but not limited to, preparing the company for a potential IPO, ensuring ongoing legal integrity, and support board/committee processes.

Major Job Accountabilities

• Drafts and manages SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
• Advises on corporate governance matters, supporting board and committee operations.
• Ensures compliance with securities laws and stock exchange regulations.
• Establishes internal controls and policies for reporting compliance.
• Leads legal aspects of potential IPO processes.
• Provides training and guidance to legal team and business stakeholders at all levels on securities law and governance.

Experience Required

Minimum five plus (5+) years of experience in the following:

• J.D. from an accredited law school; active bar membership.
• Experience in securities and corporate law, preferably with public companies or large law firm.
• Experience working with public or private company Boards of Directors and executive-level management.

Required Skills or Training

• Knowledge and management of SEC filings and corporate governance.
• Familiarity with IPO and investor disclosures.
• Understanding of stock exchange listing requirements.
• Ability to translate legal risk into business-aligned recommendations.

Professional Certifications, Licenses, And/or Registration Requirements

• J.D. from an accredited law school; active bar membership.
