Job Description

At IPS, you will apply your knowledge, skills, and passion to make a difference in the lives of people by solving complex challenges related to pharmaceutical, biotech, and animal health research and manufacturing facilities. We are looking for a dedicated Staff Attorney to join our talented legal department based out of our Blue Bell, PA headquarters.

Reporting to IPS' General Counsel, the Staff Attorney will assist and provide a range of legal support and administration to in-house attorneys, as directed by the General Counsel.

Position Responsibilities

  • Prepares and reviews legal documents, including construction and professional engineering contracts, construction & vendor subcontracts, design professional sub-consulting agreements, independent contractor agreements, agency & employee contracts, confidentiality agreements, lease agreements, etc.
  • Researches, monitors, ensures and reports compliance with state, local and federal regulations. This may include licensing in multiple US State jurisdictions, Canada, the UK & EU.
  • Research's, monitors, ensures and reports compliance with FCPA, OFAC, ITAR and other Federal and internationally mandated Ethics and Compliance regulations.
  • Researches and prepares documentation for the formation of corporate entities and maintenance of corporate entities, licensing, regulatory requirements and Ethics & Compliance requirements.
  • Prepares and tracks paperwork for mergers, acquisitions, dissolutions, amendments and withdrawals.
  • Support the management of Outside Legal Counsel and monitors Outside Legal Counsel spending.
  • Compiles necessary data and prepares audit letters.
  • Drafts corporate documents, resolutions and related documents.
  • Maintains and organizes minute books.
  • Develops, maintains and manages various databases.

Qualifications & Requirements

  • 5-7 years professional experience in either:
    • US Based construction and/or design professional services Corporation's In-House Law Department providing services domestically and/or internationally, or
    • US Law Firm specializing in the construction and/or design professional transactional, corporate compliance or litigation practice areas.
  • Bachelors' degree & certificate program in paralegal studies (Paralegal Certification is required).
  • Thorough knowledge of legal: Principles and practices, Research techniques, Terminology, Communication principles and practices
  • Knowledgeable of construction and design professional related:
    • Contingent Liabilities, such as Bonding and applicable Insurance
